Introduction
Welcome to VLVideo Studio Pro! These Terms of Use ("Terms") govern your access to and use of our website, services, and content. By engaging with VLVideo Studio Pro for any cinematic video production services, you agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein. If you do not agree with any part of these Terms, please do not use our services.
Services Offered
VLVideo Studio Pro specializes in high-quality cinematic video production services, including but not limited to:
- Pre-production planning, creative consultation, and script development
- On-location filming, videography, and direction
- Post-production editing, color grading, sound design, and motion graphics
- Delivery of final video assets in various formats
Specific project details, deliverables, timelines, and costs will be outlined in a separate project agreement, proposal, or statement of work provided for each client engagement.
Client Responsibilities
To ensure a smooth and successful project, clients agree to:
- Provide all necessary information, assets (e.g., logos, brand guidelines, scripts, music licenses), and access required for the project in a timely manner.
- Offer clear, constructive, and timely feedback during designated revision stages.
- Adhere to agreed-upon payment schedules as outlined in the project agreement.
- Obtain all necessary permissions, licenses, or consents for any third-party materials (e.g., music, stock footage, talent releases, location permits) provided to VLVideo Studio Pro for inclusion in the project.
- Appoint a primary contact person for all project communications and approvals.
Intellectual Property
Client Ownership: Upon full and final payment for services rendered, the client will own the final video production(s) delivered by VLVideo Studio Pro. This includes the right to use, distribute, and display the final video for its intended purpose as agreed upon in the project scope.
Studio Ownership: VLVideo Studio Pro retains ownership of all raw footage, project files, templates, proprietary techniques, and intellectual property developed or used during the production process, unless otherwise specified in a separate agreement. VLVideo Studio Pro also reserves the right to use portions of the final video production for its own portfolio, marketing, and promotional purposes, unless a specific non-disclosure or exclusivity agreement is in place.
Third-Party Content: Any third-party content (e.g., stock music, stock footage) acquired by VLVideo Studio Pro for a project will be licensed appropriately, and its usage will be governed by the terms of that third-party license. The client is responsible for understanding and adhering to these third-party license terms for their use of the final video.
Payment Terms
All project costs, payment schedules, and deposit requirements will be detailed in the individual project proposal or agreement. Typically:
- A non-refundable deposit (e.g., 50% of the total project cost) is required to commence work and secure project scheduling.
- Interim payments may be required at key project milestones, as outlined in the agreement.
- Final payment is due upon project completion and before the delivery of final, high-resolution video assets.
Late Payments: Invoices not paid within the specified terms may be subject to a late fee of 1.5% per month or the maximum permitted by law, whichever is less. Work may be paused or delayed until outstanding payments are resolved, and final assets will not be released until full payment is received.
Cancellations: If a client cancels a project, any deposits paid are non-refundable. The client may also be responsible for payment for work completed up to the point of cancellation, as outlined in the project agreement.
Revisions and Approvals
Each project agreement will specify the number of revision rounds included in the scope of work for each stage (e.g., script, rough cut, final cut). Additional revisions beyond the agreed-upon number may incur extra charges at VLVideo Studio Pro's standard hourly rates. Client approval at key stages is essential and will be requested in writing (email acceptable). Delays in client feedback or approvals may impact project timelines and may result in additional charges if the project extends beyond the agreed-upon schedule.
Confidentiality
VLVideo Studio Pro agrees to keep confidential any proprietary or sensitive information provided by the client that is clearly marked as confidential or would reasonably be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
Disclaimers and Limitation of Liability
VLVideo Studio Pro provides its services "as is" and makes no warranties, express or implied, regarding the services or deliverables, except as expressly stated in a project agreement. We are not responsible for:
- Loss or damage to client-provided materials unless caused by our gross negligence.
- Delays caused by client inaction, third-party issues, or force majeure events beyond our reasonable control.
- Any indirect, incidental, special, consequential, or punitive damages arising from the use of our services or the final video production.
In no event shall VLVideo Studio Pro's total liability to the client for any and all claims arising out of or related to these Terms or any project exceed the total fees paid by the client for the specific project giving rise to the claim.
Termination
Either party may terminate a project or engagement if the other party materially breaches these Terms or the project agreement and fails to remedy such breach within a reasonable timeframe (e.g., 10 business days) after receiving written notice. Upon termination, the client will be responsible for payment for all work completed up to the termination date, and any outstanding invoices will become immediately due.
Governing Law
These Terms and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Charlotte, North Carolina.
Changes to Terms
VLVideo Studio Pro reserves the right to update or modify these Terms at any time without prior notice. The most current version of the Terms will be posted on our website. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.
